Form 5472 compliance for Pakistani founders of U.S. LLCs

Pakistani founders are a top-3 cohort on Stripe Atlas and doola. Here's everything you need to file Form 5472 + pro forma 1120 from Lahore, Karachi, or Islamabad β€” including the banking realities and OBBBA 2026 considerations.

You file. We never touch your IRS submission. Read in Ψ§Ω„ΨΉΨ±Ψ¨ΩŠΨ© β†’

Why founders in Pakistan form U.S. LLCs

  • Stripe access β€” Stripe is the #1 reason Pakistani founders form U.S. LLCs.
  • Cleaner U.S. enterprise contracting and payment.
  • PSEB (Pakistan Software Export Board) registration interplay β€” you can keep your PSEB benefits while billing through a U.S. LLC; structure matters.
  • Easier upmarket β€” venture funding, U.S. partnerships, and SaaS distribution channels prefer U.S. entities.

U.S.-Pakistan tax treaty essentials

The U.S.-Pakistan Income Tax Convention (1957, original) is one of the oldest in force. It reduces withholding on certain U.S.-source payments to Pakistani residents but does NOT exempt your LLC from Form 5472.

Payment typeWithholdingNote
Dividends from U.S. company to Pakistani resident15%Article III β€” generally 15%.
Interest paid to Pakistani-resident lender30%Treaty does not reduce β€” statutory rate applies.
Royalties30%Treaty does not reduce β€” statutory rate applies. Plan accordingly.
Personal services incomeVariesArticle XI β€” exempt under specific conditions; case-by-case.

Read the full treaty on IRS.gov: Pakistan tax treaty documents.

Withholding-rate planning is separate from Form 5472. Form 5472 is an information return on the LLC; withholding is on payments from U.S. payors. Both can apply.

Your FTIN: CNIC or NTN (National Tax Number)

CNIC = 13 digits (XXXXX-XXXXXXX-X); NTN = 7 digits + check digit.

For Form 5472 line 1c, NTN is the cleaner answer since it's specifically your tax ID. If you don't have an NTN, the CNIC is acceptable. The IRS does not validate format β€” just enter the real number.

Banking realities for Pakistan founders

Pakistani founders face the toughest bank approval among major cohorts. Wise is the realistic answer for most. Mercury approval has dropped sharply in 2025-26.

  • Wise BusinessGenerally approves

Most reliable approval path for Pakistani founders. EMI, not a bank β€” no FDIC, don't park large balances.

  • MercurySelective

Approvals dropped sharply in 2025. Bring a clean ICP, strong revenue evidence, and a U.S. address. Many Pakistani founders are now declined; have Wise as fallback.

  • RelaySelective

Selective; possible if you have revenue traction.

  • BrexGenerally declines

Largely closed to non-resident founders without prior funding.

We do not have a paid partnership with any U.S. business banking provider listed here; status reflects approval patterns reported by founders we've interacted with, current as of May 2026. Verify before relying.

Common scenarios

Karachi-based SaaS founder

U.S. LLC billing Stripe, you wire monthly opex from Pakistan and take distributions periodically.

What you do: Form 5472 required. Capital contributions + distributions are reportable transactions. Use /filer.

Lahore freelance/agency consolidating clients through a U.S. LLC

U.S. enterprise clients prefer to contract with U.S. entities; you bill via Stripe or wire.

What you do: Same Form 5472 obligation. Watch ECI thresholds if you ever travel to the U.S. for client engagements.

Pakistani Amazon FBA seller

Inventory shipped to Amazon U.S. fulfillment, fulfillment from U.S. warehouses, occasional profit transfer to Pakistan.

What you do: Form 5472 plus likely U.S. sales tax nexus on Amazon (Amazon's marketplace facilitator coverage helps, but state-by-state). Use /tools/sales-tax-nexus.

Common pitfalls

  • Banking expectations β€” don't assume Mercury will approve. Plan with Wise as primary, Mercury as nice-to-have.
  • SBP (State Bank of Pakistan) reporting: outward remittances to fund your U.S. LLC may trigger Pakistani disclosure on your end β€” consult a Pakistani consultant.
  • Royalties / interest don't get treaty rate reduction β€” plan distribution structure accordingly.
  • OBBBA 2026 1% remittance tax may apply on transfers from LLC back to you in Pakistan.

What this page is NOT

  • Pakistani tax filings (income tax, sales tax) and SBP disclosures.
  • PSEB structuring β€” talk to a Pakistani CA on the dual structure.
  • Personalized analysis of your specific situation.
