Do You Need to Register Your LLC in Another State?
Your LLC is “foreign” in every state except the one it was formed in. This free checker tells you whether your activity in another state likely requires foreign qualification(registering as a foreign LLC) — a different question from sales-tax nexus, which trips up most owners.

1. Where do you have any connection?
Pick the states where your LLC has people, property, inventory, or recurring activity. The five biggest are modeled in detail; choose “Another state” for the general rule.
Two things owners get wrong
- “Not registering voids my contracts.”Usually false — New York, Texas, Florida, and Washington all say failure to qualify does not invalidate your contracts. The real penalties are the “closed courthouse door” (you can’t bring a lawsuit until you register), back fees, and per-year penalties.
