Key Takeaways
- September 15, 2026 is the extended filing date for a calendar-year 2025 Form 1065 with a valid Form 7004; it is not a payment extension.
- Verify the extension was actually accepted under form code 09 with the right EIN before relying on it.
- A dormant LLC usually still has to file because member-paid costs and state fees can defeat the narrow no-filing exception.
- A multi-member LLC taxed as a partnership files Form 1065 and K-1s, not Form 5472 or a pro forma 1120.
- Certified mail with a postmark on or before September 15 is your timely-filing proof.
What September 15, 2026 actually is
For a calendar-year partnership, the tax-year-2025 Form 1065 was due March 16, 2026 (March 15 fell on a Sunday). A timely, correctly completed Form 7004 gives an automatic six-month extension to file, which lands on September 15, 2026. That date applies to the partnership return and the Schedules K-1 that go with it. It is a filing extension only. If the partnership owed section 1446 withholding on effectively connected income allocable to foreign partners, that tax was due with the original deadline and the extension did not move it. For a dormant LLC with no income, there is no payment to worry about, only the return.
Confirm the extension really exists
Before relying on the date, confirm the Form 7004 was accepted: the entity name, the EIN, form code 09 for Form 1065, the tax year, and either the IRS e-file acceptance record or the certified-mail receipt. A 7004 mailed late, filed under the wrong form code, or filed with the wrong EIN does not extend anything, and the late-filing clock then runs from March 16. If you cannot find proof of the extension, the safest course is to file the return now rather than wait until September.
Dormant does not automatically mean no return
The Form 1065 instructions excuse a partnership from filing only when it neither receives gross income nor pays or incurs any amount treated as a deduction or credit. A dormant LLC often fails that test quietly: a member paid the Delaware annual LLC tax, the registered agent, a domain, or software from a personal card; the LLC accrued a state fee; or organizational costs were incurred at formation. Some of those amounts are capitalized rather than deducted, but that determination is fact-specific. The practical rule is that a filed all-zero return is cheap and final, while an unfiled return that later turns out to have been required carries a $255 per-partner per-month penalty for returns filed in 2026.
What a dormant-LLC Form 1065 package contains
A zero-activity return is short but not empty. Form 1065 page 1 reports no income and no deductions; Schedule B answers the ownership, entity-type, and audit-regime questions and designates the partnership representative; Schedule B-1 lists any partner at 50 percent or more; Schedule K carries zeros; each partner receives a Schedule K-1 showing ownership percentages and capital-account information; and, where every partner is foreign and has no TIN, the K-1 Item E is left blank with an attached statement. The K-2/K-3 small-partnership exception notice to each partner belongs in the package too. Multi-member LLCs taxed as partnerships do not file Form 5472 or the pro forma Form 1120; those belong to single-member foreign-owned LLCs, and mixing the two up is a common cause of unnecessary filings.
Two weeks is enough if you start now
With the facts above settled, the return itself takes under an hour. The ForeignLLCTax Multi-Member LLC package walks through the classification, the representative designation, the member-paid-cost questions, and the no-TIN partner case, then fills the official IRS PDFs and produces the mailing instructions. Print, sign, and send by certified mail so the postmark is on or before September 15, 2026. Keep the receipt with your copy of the return; that receipt is the proof the IRS asks for if a notice ever arrives.
Frequently Asked Questions
We had no bank account and no revenue. Do we still file?
Probably. The exception requires that the partnership neither received gross income nor paid or incurred any amount treated as a deduction or credit. Member-paid formation costs and state fees are the usual reason a dormant LLC still files. Filing an all-zero return is the conservative choice.
Can we get another extension after September 15?
No. The six-month Form 7004 extension is the only one available for Form 1065. After September 15, 2026 the return is late and the section 6698 penalty accrues monthly.
Does the LLC also owe Delaware anything?
Delaware LLCs owe the annual LLC tax by June 1 following the close of the calendar year, regardless of activity, plus the registered agent fee. The rate is $400 for calendar years beginning in 2026, so June 1, 2027 is the first $400 payment; the June 1, 2026 payment was the 2025 tax at $300. Those are state obligations separate from the federal return.
Is a BOI report also due?
No. Under FinCEN's 2026 final rule, companies created in the United States are exempt from beneficial ownership reporting.
